1. General

These Consultation Terms govern all consultation services provided by BlueBell Markets Ab Ltd ("Company", "we", "our" or "us") through DrinkData and related services.

By requesting, booking or purchasing consultation services, the client agrees to these Terms.

2. Scope of Services

Consultation services may include, but are not limited to:

  • Market entry guidance

  • Cross-border beverage commerce

  • Distance sales and distance purchasing models

  • Regulatory and market information

  • Business development support

  • Merchant onboarding guidance

  • Strategic and operational advisory services

The exact scope of each consultation engagement shall be agreed separately with the client.

3. Nature of the Services

Consultation services are provided for informational and business advisory purposes only.

Unless explicitly agreed in writing, consultation services do not constitute:

  • Legal advice

  • Tax advice

  • Accounting advice

  • Investment advice

  • Regulatory representation before authorities

Clients are responsible for obtaining independent professional advice where necessary.

4. Fees and Payment

Consultation services are billed according to the pricing agreed with the client.

Unless otherwise agreed:

  • Fees are stated exclusive of VAT.

  • Invoices are payable within fourteen (14) days of the invoice date.

  • The Company reserves the right to require advance payment before providing services.

The Company may suspend services in the event of overdue payments.

5. Scheduling and Cancellations

Consultations may be conducted remotely or in person as separately agreed.

A consultation may be rescheduled without charge if notice is provided at least twenty-four (24) hours before the scheduled meeting.

For cancellations made less than twenty-four (24) hours before the scheduled consultation, the Company reserves the right to charge up to the full consultation fee.

If the Company is unable to provide the consultation as scheduled, an alternative appointment will be offered.

6. Client Responsibilities

The client is responsible for:

  • Providing accurate and complete information;

  • Providing relevant background materials where necessary;

  • Ensuring that business decisions are based on appropriate professional advice and independent evaluation.

The Company shall not be responsible for consequences arising from inaccurate or incomplete information supplied by the client.

7. Confidentiality

The Company shall treat non-public business information received from clients as confidential and shall not disclose such information to third parties except:

  • With the client's consent;

  • When required by law;

  • When disclosure is necessary for the provision of agreed services.

This obligation shall survive the completion of the consultation engagement.

8. Intellectual Property

Unless otherwise agreed in writing, all materials, reports, presentations, methodologies and documentation produced by the Company remain the intellectual property of the Company.

The client may use materials provided during the consultation for its own internal business purposes.

Materials may not be redistributed, published, sold or disclosed to third parties without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, BlueBell Markets Ab Ltd shall not be liable for:

  • Business losses;

  • Loss of profits;

  • Lost business opportunities;

  • Indirect or consequential damages;

  • Decisions made by the client based on consultation services.

The Company's total liability arising from a consultation engagement shall not exceed the fees paid by the client for the specific consultation giving rise to the claim.

10. Force Majeure

The Company shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including technical failures, internet disruptions, governmental actions, labour disputes or other force majeure events.

11. Amendments

The Company may update these Consultation Terms from time to time.

Updated versions will be published on the DrinkData website.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Finland.

Any dispute arising from consultation services shall be subject to the jurisdiction of the competent courts of Finland.
